BYSER WEBSITE TERMS AND SAMPLE DATASET LICENCE

These Website Terms and Sample Dataset Licence (the "Terms") govern access to byser.ai and its dataset catalogue pages, public documentation, previews, and sample data (collectively, the "Website").

The Website is operated under the Byser name by Elisabetta Piticco, based in Florence, Italy.

Byser is currently a pre-launch dataset catalogue. The Website does not currently provide public user accounts, online checkout, automatic dataset purchases, payment processing, or automatic delivery of paid datasets.

These Terms are intended for business and professional users. The Website is not currently offered as a consumer purchasing service. Samples are available only to persons acting for business or professional purposes. If you are acting as a consumer, do not access or download a Sample.

By accessing or using the Website, you agree to comply with the provisions that apply to website use.

By downloading, receiving, or accessing a Sample after being shown these Terms, you agree to the Sample Dataset Licence in Section 7.

If you act for an organisation, you confirm that you are authorised to act for it. In that case, "you" includes both you and the organisation.

Do not access or use a Sample if you do not agree to the applicable licence restrictions.

The Website provides preliminary information about datasets that Byser may develop, prepare, source, structure, or make available under a future written commercial agreement.

The Website may include dataset descriptions, indicative quantities, technical characteristics, example schemas, metadata, public documentation, sample records, sample files, indicative prices, price ranges, and request or contact functions.

Website content is provided for preliminary business evaluation only.

Dataset listings, descriptions, availability statements, and indicative prices are invitations to discuss a potential transaction. They are not binding offers.

Submitting an enquiry, requesting a dataset, viewing a listing, or accessing a Sample does not:

  • create a purchase agreement;
  • reserve a dataset;
  • guarantee availability;
  • fix a final price;
  • grant a commercial dataset licence;
  • require Byser to accept a project; or
  • require you to purchase anything.

A paid dataset transaction will exist only when the relevant parties enter into separate written terms identifying the contracting provider, buyer, dataset, licence scope, permitted uses, restrictions, price, taxes, delivery conditions, and any applicable privacy or data-processing terms.

Any price or price range shown on the Website is indicative unless expressly confirmed in signed written terms.

Unless stated otherwise, indicative prices exclude VAT and other applicable taxes, exclude custom collection or integration work, and may vary according to volume, rarity, licence scope, permitted use, exclusivity, refresh frequency, and buyer requirements.

Byser may change or withdraw indicative pricing before a binding agreement is signed.

The Website and its original content, including Byser branding, design, text, graphics, catalogue structure, documentation, taxonomies, and non-public business materials, are owned by or licensed to the Operator.

You may view the Website for legitimate internal business evaluation.

Without prior written permission, you must not:

  • reproduce substantial Website content;
  • scrape or systematically extract catalogue information;
  • create a competing catalogue from Website materials;
  • remove notices or attribution;
  • use Byser branding in a way that suggests endorsement or affiliation; or
  • interfere with Website operation or security.

Nothing in these Terms transfers ownership of the Website, Byser branding, or any dataset.

A "Sample" means a limited dataset subset, example record, media clip, metadata file, schema, preview, demonstration package, or other sample material made available for evaluation.

Subject to these Terms, the Operator grants you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable licence to access and use the Sample solely for internal evaluation of whether your organisation may wish to purchase or license the corresponding dataset.

Unless a different period is stated with the Sample, the evaluation licence lasts for 60 days from first access or download.

During the evaluation period, you may:

  • inspect the Sample;
  • test file-format and schema compatibility;
  • perform limited internal quality review;
  • assess relevance to an intended use; and
  • share the Sample only with employees and professional advisers who need it for the same internal evaluation and are bound by confidentiality and use restrictions at least as protective as these Terms.

Unless separately authorised in writing, you must not:

  • use the Sample for production AI training or fine-tuning;
  • use the Sample to improve a commercial model or service;
  • incorporate the Sample into a production system;
  • use it as a commercial benchmark or evaluation product;
  • publish benchmark results that expose or reproduce the Sample;
  • redistribute, resell, sublicense, or make the Sample available to another organisation;
  • publish or upload it to a public repository;
  • include it in an open-source release;
  • use it to build or populate a competing dataset;
  • use automated extraction to reconstruct a larger dataset;
  • attempt to identify or contact any person represented in the Sample;
  • use it for unlawful surveillance, profiling, discrimination, deception, or harm;
  • remove rights, provenance, licence, or confidentiality notices;
  • represent it as your own dataset; or
  • retain or use it after the evaluation licence ends.

Access to a Sample does not grant permission to train or fine-tune a model.

No rights in model weights, embeddings, commercial outputs, or other derivatives are granted where those materials were created in breach of these Terms.

A Sample provided privately or marked "confidential" must be treated as confidential information and protected using at least reasonable care.

This obligation does not apply to information that you can demonstrate was lawfully public without breach, already lawfully known without confidentiality restrictions, independently developed without using the Sample, or lawfully received from another source without confidentiality restrictions.

At the end of the evaluation period, or earlier if reasonably requested in writing, you must stop using the Sample, delete or securely destroy accessible copies, instruct authorised recipients to do the same, and confirm deletion if reasonably requested.

Copies contained solely in automatic backups may remain until overwritten through the ordinary backup cycle, provided they are not restored or used except for disaster recovery.

The Operator may suspend or revoke Sample access where it reasonably believes that these Terms have been breached, the Sample is being misused, continued access creates legal or security risk, distribution is no longer authorised, or the Sample must be withdrawn or corrected.

Revocation does not affect rights or remedies arising from an earlier breach.

Byser aims to describe catalogue datasets accurately, but descriptions may be preliminary and may change before a commercial agreement is signed.

Dataset size, content, language coverage, annotation, rights status, availability, delivery date, and pricing must be confirmed in the applicable written transaction terms.

A listing does not guarantee that a dataset is currently available, that every listed record will be included, that it will meet a particular model or performance objective, that a commercial licence will be granted, that exclusivity will be available, or that the final dataset will be identical to a Sample.

You must use the Website and Samples lawfully and in good faith.

You must not:

  • probe, scan, or test vulnerabilities without written authorisation;
  • bypass authentication, rate limits, or access controls;
  • submit malicious code or abusive automated traffic;
  • interfere with servers, databases, forms, or security systems;
  • impersonate another person or organisation;
  • submit false or misleading enquiry information;
  • infringe privacy, data protection, intellectual property, confidentiality, sanctions, or export-control laws; or
  • use Website content or Samples for unlawful discrimination, surveillance, deception, or harm.

Authorised security testing must be separately approved in writing and limited to the agreed scope.

The Website may link to third-party services. Byser does not control and is not responsible for their content, availability, security, or privacy practices. A link does not necessarily imply endorsement.

You may voluntarily provide non-confidential suggestions concerning the Website or proposed datasets.

Unless otherwise agreed in writing, you grant the Operator a worldwide, perpetual, irrevocable, royalty-free right to use and incorporate non-confidential feedback without payment or attribution.

Do not submit confidential information as feedback.

The Website and Samples are provided on an "as is" and "as available" basis for preliminary business evaluation.

To the fullest extent permitted by law, the Operator does not warrant that the Website will always be available or error-free, that a listed dataset will remain available, that a Sample is complete or representative of every final record, that a Sample will produce a particular model or commercial result, or that Website information is suitable for a particular use.

Nothing on the Website constitutes legal, regulatory, tax, investment, or technical advice.

Any warranties for a paid dataset must be stated expressly in separate written transaction terms.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited, including liability for fraud, wilful misconduct, gross negligence, or other non-excludable liability.

Subject to the previous paragraph and to the fullest extent permitted by law:

  • the Operator will not be liable for indirect, consequential, special, or punitive loss;
  • the Operator will not be liable for loss of profit, revenue, opportunity, data, goodwill, or anticipated savings arising from free Website or Sample use; and
  • the Operator's aggregate liability arising solely from free Website or Sample access will not exceed EUR 100.

These limitations do not govern liability under a separately signed paid dataset agreement.

To the extent permitted by law, you agree to indemnify and hold harmless the Operator from third-party claims, losses, damages, and reasonable costs arising from your unlawful use of the Website or a Sample, breach of the Sample restrictions, unauthorised redistribution, violation of third-party rights, or security attacks initiated by you.

This obligation does not apply to the extent a claim was caused by the Operator's fraud, wilful misconduct, or gross negligence.

The Operator may block or restrict access, reject an enquiry, revoke a Sample licence, or take proportionate protective action where necessary to enforce these Terms, protect security, prevent misuse, comply with law, protect third-party rights, or investigate a suspected breach.

The Operator may preserve relevant records where reasonably necessary for security, legal claims, or compliance.

Byser may update these Terms to reflect changes to the Website, Samples, or applicable law. The current version will be posted with its effective date.

Material changes will not retroactively expand a previously granted paid commercial licence unless separately agreed.

These Terms are governed by the laws of Italy, excluding conflict-of-law rules, subject to mandatory law that cannot be excluded.

For disputes between business users and the Operator relating to these Terms, the courts of Florence, Italy will have exclusive jurisdiction, except where applicable law requires another competent court.

Where these Terms constitute standard terms or a contract made by form, the Sample recipient must separately and specifically approve the following provisions: Section 7.2 and Section 7.8 concerning revocation or suspension of the Sample licence; Section 13 concerning limitations of liability; Section 14 concerning indemnity; Section 15 concerning suspension and enforcement; and Section 17 concerning exclusive jurisdiction.

A general acceptance of these Terms does not replace the separate specific approval required where Articles 1341 and 1342 of the Italian Civil Code apply. Byser must record both acceptances, together with the accepted version and date and time.
